3. Consulting Engagements
3.1 Engagement Process
Formal consulting engagements commence upon the execution of a signed engagement letter or equivalent written agreement between Baan Crest and the client. An enquiry submitted through this website does not constitute a binding agreement.
3.2 Client Cooperation
Effective delivery of our services depends on timely access to relevant information, personnel, and documentation. Clients agree to cooperate reasonably with our consulting team and to provide accurate and complete information. Baan Crest is not responsible for delays or limitations in deliverables arising from insufficient cooperation or access.
3.3 Deliverables
Deliverables are produced as described in the engagement letter. Final reports and documents are provided in digital format unless otherwise agreed in writing. Baan Crest retains the right to anonymise and use aggregated insights for professional development, subject to confidentiality obligations.
4. Fees and Payment
Service fees are as described in the applicable engagement letter. Listed prices on this website are indicative and may vary based on the complexity or scope of a specific engagement. All fees are stated in Thai Baht (฿) and are exclusive of VAT unless otherwise noted.
- Payment terms are specified in the engagement letter (typically 50% on commencement, 50% on delivery)
- Invoices are payable within 15 business days of issuance unless otherwise agreed
- Late payments may attract interest at a rate consistent with Thai commercial law
- Disputed invoices must be communicated in writing within 7 business days of receipt
5. Cancellation and Rescheduling
Either party may cancel or suspend an engagement by providing written notice. Cancellation terms are specified in the engagement letter. In general:
- Work completed prior to cancellation is invoiceable at a pro-rated amount
- Baan Crest may retain any non-refundable deposit as described in the engagement letter
- Reasonable rescheduling requests will be accommodated where operationally possible
6. Intellectual Property
6.1 Deliverables
Upon full payment, clients receive a non-exclusive licence to use deliverables produced for their specific engagement for internal business purposes. This licence does not include the right to resell, redistribute, or sublicence deliverables to third parties.
6.2 Methodologies and Tools
Baan Crest retains all intellectual property rights in its methodologies, frameworks, templates, and tools used in delivering services, including any proprietary assessment frameworks. Clients may not reproduce or distribute these materials without written consent.
6.3 Website Content
All content on this website — including text, images, graphics, and structure — is owned by or licenced to Baan Crest. Reproduction for commercial purposes is prohibited without prior written permission.
7. Confidentiality
Both parties agree to treat confidential information shared during an engagement with appropriate care. Baan Crest will not disclose client confidential information to third parties except as required by law or with the client's consent. Confidentiality obligations survive the termination of an engagement for a period of three years unless a separate agreement specifies otherwise.
8. Limitation of Liability
To the fullest extent permitted by Thai law:
- Baan Crest's total liability for any claim arising from a consulting engagement is limited to the fees paid for that engagement
- Baan Crest is not liable for indirect, consequential, or speculative losses
- Baan Crest makes no warranties regarding outcomes — consulting recommendations involve professional judgement, and results depend on factors beyond our control
- Website content is provided "as is" and Baan Crest does not warrant its completeness or accuracy at any given time
9. Acceptable Use of This Website
